These Terms & Conditions govern your use of the HealthCare Dairy Products website and, where applicable, the supply of products by us. By accessing this website or placing an order, you confirm that you accept these terms and agree to comply with them.
If you do not agree with any part of these terms, you should not use this website or place an order with us.
2. Definitions
- "We", "us", "our" means HealthCare Dairy Products.
- "You", "Buyer" means the person or entity using this website or purchasing products.
- "Products" means the dairy ingredients supplied by us.
- "Specification" means the agreed technical parameters for a Product.
- "CoA" means the batch-specific Certificate of Analysis issued with a consignment.
3. Use of Website
This website is provided for information and business enquiry purposes. You agree to use it lawfully and not to:
- Use the site in any way that breaches applicable law or regulation
- Attempt to gain unauthorised access to the site or its underlying systems
- Introduce malicious code or otherwise interfere with the site's operation
- Extract, scrape or reproduce content for commercial purposes without our written consent
- Submit false, misleading or fraudulent enquiry information
We reserve the right to restrict or withdraw access to the website at any time without notice.
4. Product Information
Product descriptions, typical analyses and application guidance on this website are provided for general information. Typical values are indicative and represent expected ranges, not guaranteed values for any individual batch.
The binding specification for any supply is the specification agreed in writing between us, and the actual composition of a delivered batch is that recorded on its Certificate of Analysis.
Product images on this website are illustrative. They may not depict the actual pack format or appearance of the Product supplied.
It remains your responsibility to satisfy yourself that a Product is suitable for your intended application, process and regulatory market, and to conduct your own trials where appropriate.
5. Quotations & Orders
- Quotations are invitations to treat and do not constitute a binding offer unless expressly stated.
- Unless otherwise stated, quotations remain valid for the period specified on them and are subject to stock availability at the time of order.
- A contract is formed only when we issue a written order confirmation or proforma invoice.
- Orders are subject to our stated minimum order quantities.
- Cancellation or amendment of a confirmed order requires our written agreement and may attract charges where production or despatch has commenced.
6. Pricing & Payment
Prices are quoted per the agreed unit and delivery term, and are exclusive of applicable taxes and duties unless expressly stated otherwise.
- Dairy commodity prices fluctuate; prices are subject to change until an order is confirmed.
- Payment terms are as stated on the invoice or as separately agreed in writing.
- We may require advance payment or a letter of credit for new accounts and export orders.
- Late payment may attract interest at the rate permitted by applicable law and may result in suspension of further supply.
- Title to Products passes only upon receipt of payment in full.
7. Delivery & Risk
Delivery dates are estimates given in good faith and are not guaranteed. We will not be liable for any loss arising from delay in delivery.
- Delivery terms are as agreed on the order confirmation, interpreted in accordance with the applicable Incoterms.
- Risk in the Products passes to you in accordance with the agreed delivery term.
- We may deliver in instalments, and each instalment may be invoiced separately.
- Reasonable tolerance in delivered quantity may apply for bulk consignments.
8. Inspection & Claims
You must inspect Products promptly on delivery. Claims relating to shortage, visible damage or non-conformity must be notified to us in writing without undue delay and, in any event, within the period stated on the order confirmation.
- Retain the original packaging, batch identification and a representative retained sample.
- Do not process or resell Products that are subject to a claim until the claim is resolved.
- Where a claim is upheld, our liability is limited as set out in section 11.
Claims notified after the applicable period, or where the Products have been processed, mixed or improperly stored, may not be accepted.
9. Storage & Handling
Stated shelf life applies only where Products are stored in accordance with the conditions specified on the packaging and technical documentation.
You are responsible for correct storage, rotation and handling after delivery. We accept no liability for deterioration, caking, moisture pickup, odour absorption or loss of functionality arising from storage conditions outside those specified.
10. Warranty
We warrant that, at the time of despatch, Products conform to the agreed specification and have been produced in accordance with applicable food safety requirements.
This warranty is given in place of all other warranties, conditions and representations, whether express or implied, to the fullest extent permitted by law. We give no warranty that a Product is fit for any particular purpose unless that purpose has been expressly agreed by us in writing.
11. Limitation of Liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be excluded.
Subject to that, and to the fullest extent permitted by law:
- Our total liability in respect of any claim shall not exceed the invoice value of the Products giving rise to the claim.
- We shall not be liable for indirect or consequential loss, loss of profit, loss of production, loss of contracts or reputational damage.
- We shall not be liable for loss arising from your failure to conduct suitability trials for your own application.
12. Intellectual Property
All content on this website, including text, product descriptions, technical articles, images, layout and design, is owned by or licensed to HealthCare Dairy Products and is protected by applicable intellectual property laws.
You may view and print pages for your own internal business use. You may not reproduce, republish or commercially exploit any part of this website without our prior written consent. Our name and logo may not be used without permission.
13. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where that failure or delay results from causes beyond our reasonable control. This includes, without limitation, acts of God, extreme weather, epidemic or pandemic, shortage or failure of raw milk supply, industrial action, fire, flood, breakdown of plant, failure of utilities, transport disruption, war, civil unrest, and government action or restriction.
14. Governing Law & Jurisdiction
These Terms & Conditions and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.
The courts having jurisdiction at our registered office location shall have exclusive jurisdiction over any dispute, unless otherwise agreed in writing.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
